The Terms of Service (the “Terms”) is entered into by and between Ima Studio (“Ima”, “we”, “our” or “us”) and the individual agreeing to these terms (the “Customer”, “You” or “Your”), and govern your access to and use of Ima’s AI-powered image generation Services, provided via web applications, mobile applications, or any other platforms offered by Ima (collectively, the “Services”).
These Terms describe your rights and responsibilities when using the Services, including any content you generate and any prompts or inputs you provide. They also cover key legal matters, such as intellectual property, disclaimers, limitations of liability, and dispute resolution.
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must stop using the Services immediately.
The Terms become effective on the date you are first presented with them and begin using the Services. The Terms may be updated and presented again to you from time to time. Continued use of the Service constitutes acceptance of the updated terms. If You do not agree to the Terms, please stop using the Services.
1. Description of Services
1.1. Ima provides an integrated platform that enables Users to generate, edit, and customize multimedia content—including Images, videos, and animations—using artificial intelligence and machine learning technologies. The Services also support workflow-based collaboration, versioning, and sharing features, allowing users to create, remix, and publish content both privately and within public or semi-public communities (including, but not limited to, spaces hosted on platforms such as Discord).
1.2. As part of your use of the Services, you may upload, submit, transmit, or otherwise make available text prompts, reference materials, source files, collaborative feedback, and output assets (collectively, “User Content”). This includes content submitted for the purpose of rendering workflows, participating in collaborative projects, or sharing content within Ima-hosted or affiliated community environments. You acknowledge that Content may be accessible to others depending on your privacy or publication settings.
1.3. You are solely responsible for your use of the Services and all User Content. You must ensure that such use complies with all applicable local, national, and international laws, including but not limited to intellectual property, privacy, data protection, content moderation, and export control regulations. Ima does not assume responsibility for your compliance obligations.
1.4. Ima may, at its sole discretion, modify, suspend, or discontinue any part of the Services at any time, including functionality, access permissions, or community features, with or without prior notice, and without liability to you or any third party. Certain features or types of content may be restricted, blocked, or modified in specific jurisdictions to comply with local laws, app store requirements, or cultural sensitivities.
2. Eligibility and Account Responsibilities
2.1. You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction, you may use the Services only under supervision of a parent or legal guardian.
2.2. An account is required to access and use certain features of the Services of Ima. You may need to register or create an account on the Services (“Account”) and provide certain information about yourself as prompted by the account registration form, including, but not limited to, an email address, phone number and password. You agree to provide information required for your use of the Services and to update such information so it remains true, accurate, current, and complete.
2.3. You are solely responsible for maintaining the Account confidentiality and all activities under your Account. You agree to immediately notify Ima of any unauthorized use, suspected unauthorized use of your Account, or any other breach of security. You agree not to create an Account using a false identity or false information or on behalf of an individual other than yourself. Ima cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.
3. Service Access and Subscription
3.1. Service Access
The Services are provided on a unit-based system. You may acquire virtual units, credits, points, tokens, or other similar digital consumption units as designated by Ima from time to time (collectively, “Service Units”) through subscription-based Premium Accounts, one-time purchases, or by completing tasks or activities published by Ima (“Platform Tasks”). Service Units grant you the ability to access, generate, or consume certain features, content, or functionalities offered through the Services. Ima may, at its sole discretion, determine, modify, or update the methods by which Service Units are earned or acquired, the exchange rates between Service Units and fiat currency, and the rate at which Service Units are consumed for specific Services.
By obtaining Service Units, you agree to pay all associated fees, including any subscription fees, one-time purchase fees, or other service fees posted to your Account (collectively, the “Fees”). You may be required to provide your credit card or other accepted payment method (each, a “Payment Method”) when you subscribe to the Services or register for a Premium Account. Ima reserves the right to change prices, subscription fees, or billing methods at any time, either upon posting on the Services or via email notification.
If you subscribe to a Premium Account or other subscriptions we make available to you, then your subscription will be automatically renewed on a monthly, yearly, or any other basis depending on the subscription you select at Ima’s then-current subscription fee for the subscribed services unless you opt out of the auto-renewal in accordance with the subscription terms. Cancellation of a subscription stops future renewals; however, your subscription remains active until the end of the then-current billing period.
All Fees paid by you, including subscription fees, one-time purchase fees, and any fees associated with the acquisition or use of Service Units, are final, non-refundable, non-exchangeable, and non-transferable, regardless of whether Service Units have been used, consumed, or remain unused, except as expressly required by applicable law. No refunds, credits, or prorated adjustments will be provided for any partially used subscription period, unused Service Units, or unused Services, including in cases of account cancellation, termination, suspension, or your decision to discontinue use of the Services. Any statutory rights that cannot be waived or limited under applicable consumer protection laws remain unaffected by this provision.
3.2. Promotional Offers
From time to time, Ima may offer promotional activities, including but not limited to “free for a limited time,” “limited time,” “top-up,” or other special offers (“Promotional Offers”). Such promotions may provide discounted or bonus Service Units, free access, or other benefits. These Promotional Offers may be temporary, conditional, or phased, and are subject to specific terms announced by Ima. Unless expressly stated otherwise, Promotional Offers may not be combined with other promotions or incentive programs.
3.3. Incentive Programs
From time to time, Ima may introduce incentive programs to reward content creation, engagement, or other activities (“Incentive Programs”). Participation in such programs is voluntary and governed by separate rules published by Ima (“Program Rules”). By participating, you agree to comply with the applicable Program Rules, and Ima retains the sole discretion to interpret, modify, or terminate any Incentive Program at any time.
The Program Rules may include, without limitation: eligibility criteria, reward types, reward calculation methods, distribution schedules, and content requirements. Rewards may include, but are not limited to, Service Units, monetary rewards, or other benefits as specified in the Program Rules. Completing Platform Tasks may also grant Service Units or other rewards according to the published rules. Unless expressly stated otherwise, rewards from different programs or promotional campaigns may not be combined.
Ima may suspend or terminate your participation in any Incentive Program without prior notice if you breach the Terms, Program Rules, or engage in fraudulent or manipulative behavior. You may withdraw from an Incentive Program at any time by following the in-platform withdrawal process or providing written notice, but withdrawal does not affect rewards already earned according to the Program Rules.
3.4. Payment Processor
Ima uses third-party payment processors payment service providers, or payment platforms (collectively, “Payment Processors”) to facilitate payments made through the Services. By using the Services or making any purchase, you acknowledge and agree that your payment transactions may be processed by one or more Payment Processors designated by Ima from time to time, and that such Payment Processors operate independently from Ima. Your use of the payment services is subject to the applicable Payment Processor’s terms of service and privacy policy, as may be updated by the Payment Processor from time to time.
You hereby consent and authorize Ima and our Payment Processor to collect, use, process, and share your payment and transaction information with third-party service provider(s) to the extent reasonably necessary to process transactions, prevent fraud or unauthorized activity, comply with applicable laws and payment network rules, and support customer service, dispute resolution, and chargeback handling.
All information that you provide to us or to our Payment Processor must be accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your payment credentials and for all transactions conducted through your selected Payment Method. Ima is not responsible for any errors, delays, interruptions, or failures in payment processing attributable to Payment Processors, payment networks, or financial institutions, except to the extent required by applicable law.
4. Content and Ownership
4.1. Ownership of User Content
You retain ownership of all User Content that you submit or generate through the Services. Nothing in these Terms transfers ownership of your User Content to Ima. You acknowledge that your rights in AI-generated content may depend on applicable law.
4.2. Responsibility for Content
You represent that you own or have appropriate rights to any Content you use with the Services. You assume all risks associated with the use of your Content, including any reliance on its accuracy, completeness, or usefulness by others, or any potential copyright infringement claims from third parties or any disclosure of your Content that personally identifies you or any third party.
You assume all risks associated with the use of your User Content, including any reliance on its accuracy, completeness, or usefulness by others, any potential copyright or intellectual property claims from third parties, or any disclosure of information that personally identifies you or any third party. Ima does not guarantee the legal status, ownership, or copyright eligibility of any content uploaded to or generated through the Services. If you choose to use User Content or Generated Output for commercial or other purposes, you are solely responsible for evaluating any legal risks and complying with applicable laws.
Ima does not pre-screen, endorse, or assume any responsibility for any User Content.
4.3. Content License
By submitting or generating User Content through the Services, you grant Ima and its affiliates a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display such User Content as reasonably necessary to operate, maintain, and provide the Services to you. You further agree that Ima may use User Content in an aggregated or anonymized form to analyze, maintain, and improve the Services, including the development and enhancement of existing and future features and technologies.
By publishing or otherwise making your User Content publicly available through the Services, you grant Ima and its affiliates, and its promotional or distribution partners an additional worldwide, non-exclusive, royalty-free license to display, reproduce, distribute, and showcase such content within the Services and in connection with the promotion and marketing of the Services. You acknowledge that publicly shared content may be visible to other users and may also be displayed through Ima’s official channels or partner platforms for the purposes described above.
The licenses granted in this section continue for as long as necessary to provide and maintain the Services, including reasonable backup, archival, or system maintenance purposes, and may survive termination of this Agreement to the extent required for those purposes.
5. Acceptable Use & Community Rules
5.1. Content and Community Conduct
When using the Services or participating in Ima communities, you must behave respectfully and responsibly. You must not:
- Post, share, or promote any content that is offensive, unlawful, defamatory, obscene, hateful, or that infringes upon the rights of others, including intellectual property or any other privacy rights.
- Depict or promote violence, terrorism, self-harm, child exploitation, or any illegal activity.
- Create or disseminate sexual or pornographic content involving minors (including fictional, AI-generated, or “realistic” depictions).
- Create or distribute false or misleading information intended to deceive, defraud, or cause harm (e.g., fake news, impersonation of official sources, misinformation).
- Generate content depicting extreme gore, realistic violence, or other material likely to cause shock or distress.
- Generate content that simulates illegal products or substances (e.g., realistic depictions of drugs, counterfeit goods) in a manner that could promote their use or distribution.
- Harass, threaten, impersonate, or abuse other users or community members.
- Engage in spam, disruptive behavior, or coordinated manipulation (e.g., brigading, mass reporting).
- Attempt to bypass, manipulate, or interfere with any moderation tools, content filters, or access controls.
5.2. System and Security Violations
You agree not to do anything that could compromise the security, stability, or availability of the Services or any related systems, networks, or data. This includes, but is not limited to:
- Interfere with or compromise the security, integrity, or availability of the Services or any related systems, networks, or data;
- Access or attempt to access accounts, data, or systems not expressly authorized for your use;
- Attempt to gain unauthorized access to the Services through hacking, password mining, or any other illegitimate method;
- Reverse engineer, decompile, disassemble, or otherwise attempt to extract source code or models underlying the Services;
- Exploit bugs, system vulnerabilities, or undocumented APIs;
- Upload or transmit viruses, malware, worms, or other malicious code intended to damage, interfere with, or compromise data or systems;
- Impersonate any person or entity, including any Ima employee or representative.
5.3. Spam, Misuse, and Unauthorized Commercial Use
You may not use the Services to send spam or engage in other forms of misuse or unauthorized commercial activity. This includes:
- Sending unsolicited or unauthorized messages, advertisements, spam, chain letters, pyramid schemes, or any similar form of solicitation, whether commercial or not;
- Using automated scripts, bots, or other technologies to create multiple accounts or to harvest, mine, or scrape data from the platform without explicit permission;
- Misusing other users’ personal information obtained through the Services, including collecting email addresses or other data without consent;
- Selling, licensing, leasing, or otherwise exploiting the Services or any part thereof for unauthorized commercial purposes;
- Framing, mirroring, or reproducing any content or materials from the platform in violation of the Terms.
5.4. Interference with Platform or Users
You must not disrupt the platform or interfere with other users’ experience. This includes:
- Disrupt or degrade the functionality, performance, or accessibility of the Services for others;
- Upload, display, or share content that violates the Terms or community guidelines;
- Interfere with another user’s enjoyment or lawful use of the Services;
- Engage in coordinated misuse, abuse reporting, or other manipulative practices intended to influence moderation or platform policies;
- Use the Services to build or support a competitive product or service.
5.5. Moderation and Enforcement
We reserve the right (but have no obligation) to review any Content and to investigate and/or take appropriate action against you if you, in our sole discretion, violate Section 5 or any other provision of the Terms or otherwise create liability for us or any other party. but not limited to:
- Automated Content Review: Use of AI systems and machine-learning filters to detect prohibited language, patterns, or materials;
- Manual Review: Human inspection of flagged content or reported behavior by trained moderators;
- Behavioral Analysis: Investigation based on usage patterns, metadata, or suspicious activity logs.
Users may contest automated moderation decisions by submitting a written appeal to support@imastudio.com. Except in cases where a formal appeal reverses the decision, all moderation outcomes are final.
Depending on the relevant situation, we may take action, including but not limited to, resetting content (including but not limited to resetting or forcing modification of illegal user names, pictures, videos, models, comments and other illegal information or content provided or uploaded by you), refusing to publish, sending a warning, blocking communications, suspending, off-lining, banning or terminating your Account temporarily or permanently, blocking login, disabling or deleting Content or otherwise take actions at our sole discretion,with or without prior notice.
We do not assume any responsibility for the consequences such as your inability to normally use the account and related services, or your inability to normally obtain the assets or other rights and interests in your Account.
5.6. Community Rules and Updates
You agree to comply with all written or posted community guidelines applicable to any space in which you participate. These may include rules regarding content submission, formatting, collaborative conduct, and thematic appropriateness.
Ima may update community guidelines from time to time to address evolving community dynamics, safety concerns, or product changes. Your continued participation after such updates constitutes acceptance of the revised rules.
5.7. Platform Rights and Accountability
Content you post within Ima communities may be visible to other users and may be used for moderation, showcasing workflows, or fostering collaboration. You remain responsible for the legality and appropriateness of your shared content.
Ima provides tools and environments for users to collaborate, communicate, and share content. Ima does not act as a publisher or editor of user-generated or shared content and assumes no responsibility for monitoring or controlling user interactions. Any moderation actions taken by Ima or its authorized moderators are intended solely to preserve community integrity and platform functionality. Ima disclaims any responsibility for disputes between users but may intervene at its discretion if such disputes threaten the safety or functionality of the community.
Any views, opinions, or materials expressed in user-generated or community-shared content are solely those of the users and do not reflect the views or opinions of Ima. Ima does not endorse or validate the legality, accuracy, or completeness of any community content.
6. Use of Data for Service Improvement
6.1. Unless you opt out through your account settings, you agree that content generated through your use of the Services, excluding personally identifiable information, may be processed in aggregated or anonymized form and used by Ima to analyze, evaluate, maintain, and improve the performance, quality, and functionality of the Services, including the development and enhancement of existing and future features and technologies. For purposes of this section, “anonymized” means that reasonable measures are taken to remove or obscure information that could directly identify you or any third party.
6.2. You may opt out of contributing future generated content to Ima’s service improvement processes at any time by updating your preferences in your account settings. Any opt-out will apply prospectively and will not affect content that has already been processed in anonymized or aggregated form prior to the opt-out.
7. Disclaimer and Third-Party Risk
7.1. The Services and all Content provided through the Services, including User Content and AI-generated outputs, are provided on an “as is” and “as available” basis, without any representations or warranties of any kind, whether express, implied, or statutory. Ima makes no representations or warranties that any Content provided through the Services is free from intellectual property infringement, misappropriation, defamation, or violation of third-party rights. You use all Content, including generated content, at your own risk. Ima makes no warranty or representation regarding the legality, usability, or safety of any outputs.
7.2. You are solely responsible for any Content. You acknowledge and agree that Ima is not responsible for any Content, whether provided by you or by others. We make no guarantees regarding the accuracy, suitability, or quality of any Content. Your interactions with other users or third parties through the Services are solely between you and such users or third parties. Ima does not control, endorse, or monitor user interactions conducted through the Services. If there is a dispute between you and any other user or third party, Ima is under no obligation to become involved, although we may intercede at our sole discretion.
7.3. Content generated or delivered through the Services may be incomplete, inaccurate, or reflect model limitations, and should not be relied upon as a sole source of truth. Due to the nature of artificial intelligence technologies, outputs generated for different users may be similar or identical, and Ima does not guarantee the uniqueness of any generated content. Such content is provided for informational and creative purposes only and does not constitute legal, medical, financial, or other professional advice. Ima makes no warranties regarding the accuracy, reliability, or suitability of such content for any particular purpose, including commercial use. It is solely your responsibility to verify that any content you use or publish is free from copyright, trademark, publicity, or other legal restrictions before using it commercially. Ima shall not be liable for any damages, losses, or liabilities arising from or relating to any reliance on generated content.
7.4. Where the Services incorporate, rely on, are integrated with, or otherwise make available any third-party technologies, services, tools, components, data, content, software, infrastructure, or functionalities—including, without limitation, third-party APIs, models, SDKs, plugins, cloud services, open-source software, or other third-party products or services (collectively, “Third-Party Services”)—such Third-Party Services are provided subject to their own terms and conditions. Ima does not control and disclaims all responsibility or liability for Third-Party Services, including any defects, interruptions, errors, inaccuracies, security issues, unavailability, or any actual or alleged infringement, misappropriation, or violation of intellectual property or other rights arising from or relating to such Third-Party Services.
8. Copyright Infringement
8.1. Ima respect the intellectual property rights of others and expect users of the Service to do the same. We comply with applicable copyright laws, including the provisions of the Digital Millennium Copyright Act (DMCA), where applicable. If you believe that any content available on the Service infringes your copyright, you may submit a written notification to us at support@imastudio.com with the following information:
- a physical or electronic signature,
- identification of the copyrighted work,
- a link or reference to the allegedly infringing content;
- your contact details,
- a good faith belief that the use is unauthorized,
- a statement under penalty of perjury regarding the accuracy of your claim.
Upon receipt of a valid notice, we may remove or disable access to the allegedly infringing material and take appropriate action against the user who posted it, including account suspension or termination. We may, in appropriate circumstances, terminate the accounts of users who are determined to be repeat infringers.
8.2. Counter Notification. If you believe content you uploaded was wrongly removed, you may send a counter notice to support@imastudio.com including:
- Your name and contact information;
- The material removed and its location prior to removal;
- A statement under penalty of perjury that you believe the removal was mistaken;
- Consent to the jurisdiction of a U.S. federal court;
- Your signature.
Upon receiving a valid counter-notice, Ima may reinstate the content unless the original claimant files a court action within 14 business days.
9. Communications
9.1. You may have the opportunity to provide us with your e-mail address. By providing your email address to us, you consent to receiving email communications from Ima for administrative or operational purposes related to your Account. Communications from us may include communications about your use of the Services.
9.2. If you opt in to receive marketing or promotional communications from us, you may opt out at any time by following the unsubscribe instructions included in such communications. You acknowledge that you are not required to consent to receive promotional emails in order to access or use the Services. Consent to receive promotional messages is optional and will not affect your ability to use the Services.
10. Limitation of Liability
10.1. Each user of the Services is solely responsible for any and all of its own Content. Because we do not control Content, you acknowledge and agree that we are not responsible for any Content, whether provided by you or by others. We make no guarantees regarding the accuracy, availability, suitability, reliability or quality of any Content. Your interactions with other users, including any interactions with Collaborators or third parties, are solely between you and such users and third parties. You agree that Ima will not be responsible for any loss or damage incurred as the result of any such interactions. We do not oversee the collaborations or interactions that take place in Teams nor do we oversee the use of the Service by users. If there is a dispute between you and any user of the Services or you and any third party, we are under no obligation to become involved. Provided, however, we reserve the right to intercede in such disputes at our sole discretion.
10.2. To the fullest extent permitted by law, Ima and its suppliers shall not be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or costs of procuring substitute services, arising out of or related to the Terms or your use of, or inability to use, the Services, even if we have been advised of the possibility of such damages. Access to and use of the Services is at your own discretion and risk. Ima’s total aggregate liability to you for all claims arising out of or in connection with this Agreement shall not exceed the lesser of (i) the total fees paid by you to Ima in the six (6) months immediately preceding the event giving rise to the claim, or (ii) USD 100. The existence of multiple claims will not enlarge this limit.
11. Indemnification
You agree to defend, indemnify, and hold harmless Ima, its affiliates, officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees and court costs, arising out of or related to:
- Your access to or use of the Services, including any AI-generated outputs;
- Any Content you create, upload, publish, or share through the Services;
- Your violation of the Terms or applicable law, regulation, or third-party rights; or
- Any unauthorized, illegal, or harmful conduct by you, including infringement, defamation, or harassment.
Ima may, at its sole discretion and expense, assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate fully with Ima in asserting any available defenses and in the conduct of such defense. You further agree not to settle any claim, action, or proceeding without Ima’s prior written consent. Ima will make reasonable efforts to notify you promptly of any such claim upon becoming aware of it.
12. Modifications and Termination
12.1. Subject to this Section, the Terms will remain in full force and effect while you use the Services. We may suspend or terminate your rights to access and use the Services (including your Account) at any time for any reason at our sole discretion, including for any use of the Services in violation of the Terms. Upon termination of your rights under the Terms, your Account will be deleted and your right to access and use the Services will terminate immediately. You understand that any termination of your Account may involve deletion of your Content associated with your Account from our live databases. Ima will not have any liability whatsoever to you for any termination of your rights under the Terms, including for termination of your Account or deletion of your Content.
12.2. The Terms may be updated or modified by Ima at any time, in our sole discretion. When changes are made, a new version of the Terms will be posted on the Website and within the App, and any Supplemental Terms will be made available from within, or through, the affected Service. Ima may require you to provide consent to the updated Terms before continuing to use the Services. If you do not agree to any changes, you must stop using the Services. Your continued use of the Services after the posting of updated Terms constitutes acceptance of those changes. Please regularly review the Website and App to stay informed of the then-current Terms.
12.3. We reserve the right to suspend or terminate access to the Services for violations of the Terms. Upon such suspension or termination, your access to the Services may be disabled, and your Content may be deleted without prior notice.
13. Governing Law and Dispute Resolution
13.1. Governing Law. The Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.
13.2. Informal Resolution. Before initiating any formal dispute resolution, you agree to contact us at support@imastudio.com and attempt to resolve the issue in good faith. Most concerns can be addressed quickly through direct communication.
13.3. Binding Arbitration. If a dispute cannot be resolved informally within thirty (3xw0) days, either party may submit the dispute to binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Arbitration Rules then in effect. The arbitration shall be conducted in English, and the tribunal shall consist of one arbitrator appointed under the SIAC Rules. The arbitrator’s decision shall be final and binding, and judgment may be entered in any court having jurisdiction.
13.4. Exceptions for Statutory Rights. Nothing in this section prevents you from seeking relief in a court of competent jurisdiction where such rights cannot be waived under applicable law, including statutory consumer protection rights in your jurisdiction.
14. Miscellaneous
14.1. Entire Agreement. The Terms constitutes the entire agreement between you and us regarding the use of the Services. Our failure to exercise or enforce any right or provision of the Terms shall not operate as a waiver of such right or provision. The section titles in the Terms are for convenience only and have no legal or contractual effect. If any provision of the Terms is, for any reason, held to be invalid or unenforceable, the other provisions of the Terms will be unimpaired, and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.
14.2. You may not assign or transfer your rights or obligations under the Terms without Ima’s prior written consent. Ima may assign or transfer its rights and obligations without restriction.
14.3. Failure by Ima to enforce any provision of the Terms shall not be deemed a waiver of its right to enforce that provision or any other provision in the future.
14.4. Provisions that by their nature should survive termination or expiration of the Terms—including but not limited to Intellectual Property, Disclaimer, Limitation of Liability, Indemnification, and Governing Law—shall survive any termination of your use of the Services.
